Ochrana mezinárodních investic je dynamickým oborem mezinárodního práva. Jeho vývoj je ovlivněn především zájmem investorů a jejich domovských států na co nejvyšší úrovni ochrany a maximalizaci zisku. Tato diplomová práce poukazuje na zásadní oblasti ochrany, ve kterých tyto zájmy kolidují se právem hostitelských států na účinnou regulaci podnikání. Jsou v ní analyzovány hmotněprávní standardy ochrany investic a jejich použití v investiční arbitráži v souvislosti s nediskriminačními státními zásahy do investice, provedenými v dobré víře. Globalizace a liberalizace obchodu přinesly nejen prudký nárůst množství přímých zahraničních investic a také stále nekončící růst počtu sporů řešených v arbitráži pomocí systému ISDS. Rozhodovací praxe zatím není ustálená ve výkladu jednotlivých smluvních klauzulí a jejich hranic s regulačními pravomocemi. Materiálním důvodem je především nejednotnost jejich vyjádření ve smlouvách o ochraně a podpoře investic. Dále se projevují rozdíly v rozhodování institucionálních tribunálů a tribunálů ustanovených ad hoc. Iniciativu k ustálení rozhodovací praxe a zajištění suverénního práva na regulaci přebírají opět státy jako tvůrci mezinárodního práva. Úpravou smluv chtějí docílit především stavu, kdy nebudou závazky z těchto smluv klást nepřiměřené nároky na právní stabilitu, zejména v oblasti obecně závazných předpisů.International investment protection is a dynamic field of international public law. Its development is influenced mostly by concern of investors and their home states to get the highest protection possible and to maximize profits. This thesis points out fundamental fields of protection, where this concern collides with states' regulatory powers. It analyses substantive standards of protection and their application in investment arbitration, in disputes raised on non-discriminatory, bona fide regulatory measures. Globalization and commercial liberalization caused not only rapid growth of international investment, but also growth of investment disputes solved by ISDS. There's still barely any stable case law for interpretation of standards of protection and their frontiers with regulatory powers. One of the main reasons is difference of standards in many treaties. Other issue is difference in decision making of institutional and ad hoc tribunals. States, as creators of international public law, have taken the steps to specification of standards, to lay down some of the boundaries of regulatory powers. Changes in IIAs should lead to limit the risks of regulatory measures being considered as violation of IIA by arbitral tribunals. This concern applies especially for investor's expectations raised on general norms. There will not be probably any massive wave of withdrawals from ISDS mechanism in near future due to past tribunals decisions against states, but continuous changes in IIAs wording are expectable.
