Předmětem této diplomové práce je institut smluvní pokuty v obchodněprávních závazkových vztazích. Pozornost je mimo jiné soustředěna na sjednávání smluvní pokuty a s tím související důsledky projevující se v obligační praxi. Dále je zmíněna obecná charakteristika smluvní pokuty, moderační právo soudu či vztah smluvní pokuty k jiným právním institutům jako jsou úroky z prodlení nebo náhrada škody. Závěrečná část je zaměřena především na možný vývoj de lege ferenda.The thesis is focused on liquidated damages from the perspective of Czech commercial law. The thesis deals with general issues of Czech legal form of liquidated damages, through the judicature it points out the aspects of its aplication in practice and the most frequent deficiencies that occur when they are being negotiated. Various chaps also deals with a court´s diminution in value, with a relationship of the liquidated damages and the other legal institution or with the possible future changes of Czech legal form.
