Tato diplomová práce je zaměřená na právní úpravu v zákoně o obchodních korporacích, která umožnuje akciovým společnostem emitovat různé druhy akcií. Práce se zabývá tím, jaká zvláštní práva lze s akciemi spojit, zda lze z akcií práva i odebrat případně, která práva a jaké jsou limity smluvní autonomie při modifikaci práv a povinností spojených s akcií. Diplomová práce je rozdělena do deseti kapitol včetně úvodu a závěru. V prvních dvou kapitolách práce pojednává obecně o akcii jako cenném papíru a zaknihovaném cenném papíru a o druhu akcií. Po té autorka práce vymezuje obecné limity smluvní volnosti, jež musí být dodrženy při konstrukci každého druhu akcií. Následující kapitoly jsou věnovány druhům akcií dle zákona o obchodních korporacích a zákona o investičních společnostech a investičních fondech a také dalším modifikacím práv spojených s akcií. Následně je v práci analyzováno přidávání zvláštních práv a odebírání práv, která jsou s akcií spojeny. Práce se rovněž zabývá otázkou, zda je takový postup možný i v případě povinností. V závěru diplomové práce jsou shrnuty limity, které musí být dodrženy při vydávání různých druhů akcií.This thesis is focused on the legislation in the bussiness corporations act, which allows joint stock companies to issue various share types. The thesis deals with kinds of special rights that can be attached to shares combined with which rights can be withdrawn from the shares and what are the legal limits of contractual autonomy when modifying the rights and obligations associated with the shares. The thesis is diveded into ten chapters including the introduction and conclusion. In the first two chapters, the thesis deals in with the stock as a security object in general and with the types of shares. After that, the author defines the general limits of contractual freedom that must be observed in the construction of each type of shares. The following chapters are devoted to the types of shares under the Commercial Corporations Act and the Investment Companies and Investment Funds Act, as well as other modifications to the rights attached to the shares. Subsequently, the work analyzes the addition of special rights and the removal of rights associated with the share. The thesis also deals with the question of whether such procedure is possible in the case of duties. At the end of the thesis, the limits that must be observed when issuing various types of shares are summarized.
