Tato diplomová práce zpracovává téma podnikání zahraničních osob na území České republiky v kontextu s právní úpravou Evropské unie a významnými rozhodnutími Evropského soudního dvora týkajícími se svobody usazování. V úvodu textu diplomové práce je zachycen vývoj podnikání se zaměřením na podnikání zahraničních osob na území ČR, dále je vymezen pojmový aparát nezbytný k pochopení zpracovávané materie a opomenuta není ani otázka osobního statutu. Popis a analýza české právní úpravy vychází především z obchodního a živnostenského zákona. Do textu diplomové práce je zachycena i právní úprava ochrany majetkových zájmů zahraničních osob při podnikání na území České republiky. Dle právního řádu České republiky se zahraničními osobami rozumí fyzické osoby s bydlištěm nebo právnické osoby se sídlem mimo území České republiky, přičemž právní způsobilost je zahraničním osobám přiznávána taková, jakou mají zahraniční osoby na území státu založení, v případě fyzických osob taková, jakou jim přiznává stát, jehož jsou občanem. Český právní řád zakotvuje princip inkorporace modifikovaný principem sídla. Zahraniční osoby mohou dle obchodního zákoníku podnikat na území ČR za stejných podmínek jako osoby české, přičemž z tohoto ustanovení existují výjimky. Podnikat na území České republiky může zahraniční osoba prostřednictvím podniku nebo organizační složky podniku umístěné na území České republiky, prostřednictvím účasti na podnikání české právnické osoby a prostřednictvím přemístěním sídla na území České republiky, přičemž podnikání prostřednictvím podniku není nijak efektivní a podnikání prostřednictvím přemístění sídla je v současné době podle české právní úpravy prakticky nemožné.This thesis considers the topic of a business carried out by foreign persons in the Czech Republic in the context of the European Union legal order and relevant decisions of the European Court of Justice concerning freedom of establishment. In the introduction to the thesis involves the evolution of business in the CR, focusing the business of foreign persons in the CR, also there is a definition of the conceptual apparatus necessary for the understanding of the matter and the issue of personal status. Description and analysis of the Czech legislation is based primarily on the Commercial Coda and the Trade Act. The text of the thesis also considers the protection of property interests of foreign persons carrying out business in the Czech Republic. According to the Czech legal order the foreign persons are defined as natural persons residing or legal persons established outside the territory of the Czech Republic, the Czech Republic declares legal compentence to artificial foreign persons to the extent in which they enjoy it in the state of foundation, to natural person to the extent in which they enjoy legal competence in the state of their citizenship. Czech law enshrines the principle of incorporation modified by principle of the seat. Foreign persons may carry out business under the Commercial Code in the Republic under the same conditions as Czech persons, expcept of several exceptions to the provisions. Business in the Czech Republic may be carried out by a foreign persons through a enterprise or a branch of a foreign person located in the territory of the Czech Republic, through the participation of the Czech artificial person and by transfer of the seat to the Czech Republic, at the same time we can say that business through the location of the enterprise is not efficient and business through the transfer of the seat is currently under Czech law virtually impossible.
