Tato diplomová práce se zabývá smlouvou o prodeji podniku. Jde o smluvní typ upravený v § 476 a násl. ObchZ. Jsou zde definovány související pojmy (např. podnik, organizační složka podniku, podnikatel, věc hromadná), vymezeny rozdíly této smlouvy oproti jiným institutům (např. kupní smlouva, přeměna obchodních korporací, smlouva o vkladu podniku) a dále rozebrány zvláštní případy dispozic s podnikem (např. darování, směna, svěřenský fond). Nechybí zde ani srovnání stávající a nové právní úpravy (zejména NOZ a ZOK) a zmínka o rodinném závodu. Diplomová práce si všímá rovněž historických a ekonomických souvislostí.This thesis deals with a contract of sale of an enterprise. It is a contract regulated by Section 476 etc. Act No. 513/1991 Coll., the Commercial Code. There are defined contextual terms (e.g. an enterprise, a separate organizational component, an entrepreneur, universitas rerum), differences in its comparison with alternative juridical institutes (e.g. a contract of a sale, a transformation of corporations, an agreement of a contribution of an enterprise) and next discussed special cases of an alienation with an enterprise (e.g. a deed of gift, a barter contract, a trust). In this thesis there is also mentioned comparison between present and future legal regulations represented especially by Act No. 89/2012 Coll., the Civil Code and Act No. 90/2012 Coll., the Commercial Code and reference to family enterprise. The thesis attends to historical and economical contexts too.
