Tato diplomová práce se věnuje problematice veřejné obchodní společnosti. Zejména pak její charakteristice a postavení v rámci právního řádu. Popisuje veřejnou obchodní společnost jako korporaci ryze osobního charakteru. V úvodní části práce je představen celkový koncept korporací tohoto typu a jejich vývoj na našem území. Dále je zde popsán proces založení a vzniku veřejné obchodní společnosti a její organizační struktura. V další části je uvedeno právní postavení společníků a výčet práv a povinností s tím souvisejících a následně jsou konkretizovány. V neposlední řade jsou v práci rozebrány instituty a postupy související se zrušením a zánikem veřejné obchodní společnosti. Součástí práce však není pouze rozbor účinné právní úpravy. Průběžně je v rámci této práce zpracovávána komparace účinné právní úpravy s právní úpravou předchozí. Závěrečná část práce se věnuje postavení tohoto typu obchodních korporací v zahraniční právní úpravě a poukazuje na odlišnosti ve vztahu k právní úpravě české. V závěru práce jsou shrnuty dosažené cíle práce. Obsahuje také shrnutí změn, které přinesla nová právní úprava včetně předpokládaného vývoje uplatnění těchto osobních obchodních společností.This thesis deals with the issue of a General partnership in particular with its characteristics and position within the legal system. It describes a General partnership as a partnership of a purely personal character. In the first part there is the overall concept of a General partnership and its development in our country introduced. Furthermore, there is also described its establishment, formation and its organizational structure. The next section has been describing the legal status of partners and an associated list of their rights and obligations. Subsequently they are specified. Last but not least, in the thesis there were the institutes and procedures related to cancellation and termination of a General partnership described. An analysis of an effective legislation is not the only important part of this thesis. There is also the comparison of an effective legislation and the previous legislation which had been monitored continuously throughout the thesis. The final part has dealt with the role of this type of partnership in foreign legislations and has highlighted its differences in relation to the Czech legislation. Within the conclusion the goals of the thesis had been summarized. It also contains a summary of the changes which had been brought by a new legislation as well as the expected development of the application of this type of partnerships.
